ARTICLE 1 - PARTIES AND DEFINITIONS

This Membership Agreement (“Agreement”); has been concluded between Yeşim Güner Company (“COMPANY”), the owner of the “shopseizetheday.com” website, located at Telsiz Mahallesi 101 Sokak, No:100/A Kat 1 Zeytinburnu, Istanbul, and the website user who has become a member by accepting the following terms and conditions or the user who has become a member through the applications installed on mobile devices (“Member”), in order to determine the conditions regarding the Member’s use of the Services offered by the company.

Seller: Refers to the legal entity that offers or sells goods or services subject to electronic commerce through the Platform.

Buyer: Refers to the natural or legal person who purchases or acts for the purpose of purchasing goods or services subject to electronic commerce through the Platform.

Service Provider: Refers to real or legal persons engaged in electronic commerce activities.

Intermediary Service Provider: Refers to real or legal persons who provide an electronic commerce environment for the economic and commercial activities of others.

Privacy and Personal Data Protection Policy: This refers to the text that regulates the company's general privacy policy regarding personal data and the use of cookies, including issues such as for what purposes and in what way the personal data transmitted by Members through the Platform will be used by the company, and can be accessed through the www.shopeizetheday.com platform.

Services: Refers to the practices put in place by the company to enable Members to carry out the work and transactions defined in this Membership Agreement.

ARTICLE 2 - SUBJECT OF THE CONTRACT

This Agreement determines the terms and conditions under which the member can benefit from the website “shopseizetheday.com” owned by Yeşim Güner Company.

ARTICLE 3 – RIGHTS AND LIABILITIES OF THE PARTIES

The Member declares and undertakes that the personal and other information provided by him/her when registering to the “shopseizetheday.com” website is true before the law, and that he/she will compensate the COMPANY immediately and in full for all damages it may incur due to the inaccuracy of this information.

MEMBER may not share the password given to them by the COMPANY with any other person or organization. The member has the right to use such password personally. The COMPANY reserves all liability arising from this and all claims and demands that may be made against the COMPANY by third parties or authorized authorities. The COMPANY reserves the right to claim compensation and other claims arising from such unauthorized use.

When using the "shopseizetheday.com" website, the member agrees and undertakes to comply with and not violate legal regulations. Otherwise, all legal and criminal liabilities arising will be fully and exclusively binding on the member.

Members may not use the "shopseizetheday.com" website in any way that disrupts public order, violates morality, disturbs or harasss others, for any illegal purpose, or infringes on the intellectual property or copyrights of others. Furthermore, members may not engage in any activities or actions that prevent or obstruct others from using the services.

The opinions and ideas expressed, written, and used by members on the "shopseizetheday.com" website are solely the members' personal views and are solely the responsibility of the opinion holder. These opinions and ideas have no affiliation or connection with the COMPANY. The COMPANY assumes no responsibility for any damages that third parties may incur as a result of the opinions and ideas expressed by the member, nor for any damages that the member may incur as a result of the opinions and ideas expressed by third parties.

The COMPANY shall not be liable for any damage to member software and data that may occur due to unauthorized access to member data. The MEMBER agrees in advance not to seek compensation from the COMPANY for any damages it may incur as a result of using the "shopseizetheday.com" website.

MEMBER agrees not to access or use other internet users' software and data without permission. Otherwise, any legal and criminal liability arising from such access rests entirely with the member.

Any member who violates one or more of the provisions of this membership agreement shall be personally and legally liable for such violation and shall indemnify the COMPANY from any legal or criminal consequences arising from such violation. Furthermore, should the matter be brought before the courts due to such violation, the COMPANY reserves the right to seek compensation from the member for non-compliance with the membership agreement.

The COMPANY reserves the right to unilaterally terminate a member's membership and delete customer files, documents, and information at any time, if necessary. The Member hereby accepts this disposition in advance. In such cases, the COMPANY shall have no liability.

The software and design of the "shopseizetheday.com" website are the property of the COMPANY, and the copyright and/or other intellectual property rights related to them are protected by applicable laws. They cannot be used, acquired, or modified by the member without permission. Other companies and products mentioned on this website are the trademarks of their respective owners and are also protected by intellectual property rights.

Some information may be collected by the COMPANY for the purpose of improving and developing the “shopseizetheday.com” website and/or within the framework of legal regulations, such as the name of the Internet service provider and Internet Protocol (IP) address used to access the site, the date and time the Site was accessed, the pages accessed while on the site and the Internet address of the website that provides direct connection to the site.

The COMPANY may disclose the member's personal information when requested as a legal obligation or when it believes in good faith that it is necessary to (a) act in accordance with legal requirements or comply with legal processes served on the COMPANY; (b) protect and defend the rights and property of the COMPANY and the "shopseizetheday.com" website family.

Measures have been taken to ensure that the "shopseizetheday.com" website is free of viruses and similar malicious software, to the best of our ability. Furthermore, to ensure ultimate security, users must provide their own virus protection system and ensure the necessary protection. In this context, by accessing the "shopseizetheday.com" website, members accept responsibility for any errors that may occur in their software and operating systems, and any direct or indirect consequences thereof.

The COMPANY reserves the right to change the content of the site at any time, to change or terminate any service provided to users, or to delete user information and data registered on the “shopseizetheday.com” website.

The COMPANY may change, update, or cancel the terms of the membership agreement at any time without prior notice and/or warning in any form. Any amended, updated, or repealed provision will be effective for all members on the date of publication.

The parties accept and declare that all computer records belonging to “shopseizetheday.com” will be taken as the sole and exclusive evidence in accordance with Article 193 of the Civil Procedure Code and that the said records constitute an evidentiary contract.

In accordance with this membership agreement, the COMPANY has the authority to send information e-mails to its members' registered e-mail addresses and information SMSs to their mobile phones. By approving this membership agreement, the member will be deemed to have accepted the sending of information e-mails to their e-mail addresses and information SMSs to their mobile phones.

ARTICLE 4 - USAGE FEE

Although no fee is charged for Site membership, if the Member wishes to benefit from the services offered on the Site, a separate distance sales contract will be signed between the Parties within the scope of these paid services.

The COMPANY reserves the right to determine and change the fees for the services provided on the “shopseizetheday.com” website.

ARTICLE 5 – INTELLECTUAL PROPERTY RIGHTS

All registered and unregistered intellectual property rights, including titles, business names, brands, patents, logos, designs, information, and methods, contained on the Site belong to the COMPANY and are protected by national and international law. Visiting the Site or using the services on the Site does not grant any rights with respect to such intellectual property rights.

The information on the site may not be reproduced, published, copied, presented, and/or transferred in any way. The site, in whole or in part, may not be used on another website without permission.

ARTICLE 6 – FORCE MAJEURE

In all cases deemed force majeure, the COMPANY shall not be held liable for any late, incomplete, or non-performance of any of its obligations specified in the Agreement. These and similar circumstances shall not be deemed delay, incomplete performance, non-performance, or default on the part of the COMPANY, nor shall any compensation be claimed from the COMPANY under any name whatsoever for such circumstances. Force majeure shall be interpreted as events beyond the reasonable control of the relevant party, including, but not limited to, natural disasters, riots, wars, strikes, communication problems, infrastructure and internet failures, system improvement or renewal efforts and any malfunctions that may occur as a result, power outages, and adverse weather conditions.

ARTICLE 7 - CHANGES TO BE MADE IN THE CONTRACT

COMPANY may change the services offered on the Site and the terms of the Agreement, in whole or in part, at any time. Changes will be effective as of the date they are published on the Site. It is the Member's responsibility to monitor these changes. By continuing to use the services offered, the Member is deemed to have accepted these changes.

ARTICLE 8 - TRANSFER OF THE AGREEMENT

The COMPANY may provide the services offered through the Site itself or may receive support from contracted institutions/organizations. The Member declares, acknowledges, and undertakes to approve this in advance. Due to the personal nature of the services offered by the COMPANY through the Site, the Member acknowledges, declares, and undertakes not to transfer and/or assign its rights, receivables, and obligations arising from the Agreement to third parties, and not to allow third parties to use them outside of the Agreement.

ARTICLE 9 – CONFIDENTIALITY

All data belonging to the Member disclosed to the COMPANY by the Member in writing and/or verbally and/or learned within the scope of the work carried out by the Parties will be protected under this confidentiality article.

If the confidential information in question is already known and/or becomes public without the COMPANY violating the confidentiality rule, without requiring the COMPANY's liability, none of the provisions of this Agreement will be applicable.

In addition, if confidential information is requested based on the applicable laws and/or the authority of the Personal Data Protection Board and/or the stock exchange or a similar regulatory official institution or a court order, the COMPANY will first inform the Member and then the persons requesting this information will be warned about the confidentiality of this information and will be asked to take the necessary measures.

The Member declares, accepts and undertakes that he/she consents to the COMPANY communicating with him/her electronically, limited to the use of the same within the scope of marketing activities such as promotion, advertisement, campaign, promotion, announcement etc. in accordance with the Law No. 6563 on the Regulation of Electronic Commerce and related legislation.

ARTICLE 10 – PROTECTION OF PERSONAL DATA

The Member declares, accepts and undertakes that he/she has read, reviewed, evaluated and understood the Information Text on the Protection and Processing of Personal Data, which is annexed to this Agreement, regarding the processing and/or transfer of his/her Personal Data by Yeşim Güner Company for the purposes specified in the Information, the details of which are clearly stated in a way that does not raise any doubt, in accordance with the Law on the Protection of Personal Data No. 6698 on the Protection of Personal Data, and that he/she gives his/her express approval and consent to the processing and/or transfer of his/her Personal Data as stated above within the scope of the KVKK, without any social, financial, psychological, etc. pressure; that he/she is aware of the rights granted to him/her under the KVKK and that he/she consents to the processing of his/her Personal Data by the COMPANY and sharing it with the above-mentioned persons within the framework of the above-mentioned information, the content of which he/she has read and understood.

ARTICLE 11 – TERM

The Agreement begins when the person acquires membership qualifications and remains in force until the Member's membership is deleted, provided that the Service Provider terminates the Member's membership for justified reasons.

ARTICLE 12 – NOTIFICATION

Members will be contacted via the email address and/or phone number provided during registration, or via general information on the site. Email communication replaces written communication. It is the Member's responsibility to keep their email address up-to-date and to regularly check the site for notifications. Members acknowledge, represent, and undertake that notifications sent to the specified email address will be valid regardless of whether they are received.

ARTICLE 13 - APPLICABLE LAW AND COMPETENT COURT

Turkish Law shall be valid in resolving disputes arising from the application and interpretation of the Convention, and the courts and enforcement offices of Istanbul Courthouse shall be competent.

ARTICLE 14 - PARTIAL INVALIDITY

If any of the articles of this Agreement is deemed invalid or cancelled, this will not affect the validity of the other articles of the agreement.

ARTICLE 15 – ENFORCEMENT

The Member acknowledges, declares, and undertakes to have read, understood, and accepted this Agreement, which consists of 6 (six) pages and 15 (fifteen) articles, and to confirm the accuracy of the information provided. The Agreement enters into force mutually and indefinitely upon the Member's approval.
